Traveling & Visiting Model Talent Agreement

360ism Studios / Influencer Model Shoots

This Traveling & Visiting Model Talent Agreement (“Agreement”) is entered into by and between 360ism Studios / Influencer Model Shoots (“360ism” or “Studio”), located at 1108 E. Main St, Suite 220, Richmond, VA 23219, and the undersigned Model Talent (“Model”).

This Agreement governs the terms under which Model will travel to, visit, appear at, or be promoted for booking opportunities facilitated by 360ism Studios and/or Influencer Model Shoots.

2. Independent Contractor Status

Model is engaged as an independent Model Talent / independent contractor for modeling-related services only.

Nothing in this Agreement creates an employment relationship, partnership, agency relationship, or joint venture between the parties.

Model is solely responsible for their own taxes, insurance, personal conduct, and other obligations associated with independent contractor status.

3. Booking Date(s) and Protected Booking Window

For purposes of this Agreement, the Protected Booking Window includes:

  • the scheduled booking date(s)
  • the guaranteed booking block
  • 48 hours before the first scheduled booking date/time
  • 48 hours after the final scheduled booking date/time

4. Guaranteed 5-Hour Booking Block

360ism may secure Model under a guaranteed 5-hour booking block.

Under this structure:

  • 360ism reserves Model for five (5) guaranteed hours
  • the block may include one group shoot, one or more private sessions, or another booking format determined by 360ism
  • Model agrees to remain available, present, and booking-ready for the full guaranteed block

Guaranteed Hourly Rate: $__________________ per hour

Total Guaranteed Minimum Compensation: $__________________

Model understands that the guaranteed block is being secured in exchange for 360ism’s right to control scheduling, promotion, and booking access during the applicable time period.

5. Exclusive Availability

In exchange for the guaranteed booking block and related promotion, Model agrees to be exclusively available to 360ism during:

  • the full 5-hour guaranteed booking block
  • the Protected Booking Window defined in this Agreement

During that time, Model shall not accept, solicit, promote, schedule, or participate in any competing shoot, event, studio booking, meetup, or modeling appearance outside of 360ism unless 360ism gives prior written approval.

6. Competing Studio Restriction

During the Protected Booking Window, Model shall not appear, shoot, book, or participate in any modeling-related activity through another studio, organizer, content house, or competing production space located within a 25-mile radius of 360ism Studios.

This restriction applies whether the booking or appearance is arranged:

  • directly by Model
  • through a third party
  • through a photographer
  • through another studio
  • through social media, private message, referral, or informal arrangement

7. Booking Coordination / Non-Circumvention

All bookings involving Model during the Protected Booking Window must be coordinated through 360ism.

Model agrees not to:

  • book directly with photographers introduced through 360ism
  • redirect leads, photographers, or clients away from 360ism
  • move a proposed booking to another studio or location
  • privately arrange off-platform sessions during the Protected Booking Window
  • use the visibility, promotion, or introductions created by 360ism to secure competing bookings

For purposes of this Agreement, any photographer, attendee, lead, or client introduced through 360ism, Influencer Model Shoots, social media promotion, website promotion, flyers, event listings, or direct outreach shall be considered a Studio-introduced contact.

8. Scheduling Authority

360ism retains sole authority over the structure and scheduling of the booking day, including:

  • group shoot timing
  • private session timing
  • order of sessions
  • setup flow
  • transitions between bookings
  • use of the guaranteed block

Model agrees to:

  • arrive on time
  • remain present and prepared
  • follow the booking schedule assigned by 360ism
  • conduct themselves professionally throughout the booking block

Wardrobe changes, makeup touch-ups, set transitions, and concept adjustments must fit within the booking schedule unless otherwise approved by 360ism.

9. Model Tier Assignment and Rate Structure

360ism retains sole discretion to assign Model to an internal booking tier for purposes of pricing, promotion, positioning, and booking eligibility within the 360ism / Influencer Model Shoots system.

Possible internal tiers may include, but are not limited to:

  • Development Model
  • Working Model
  • Premium / Featured Model

Model acknowledges and agrees that:

  • Model’s assigned tier shall be determined solely by 360ism
  • Model’s assigned tier may affect the hourly rate, approved rate range, event pricing, group shoot pricing, private session pricing, promotion level, and booking opportunities made available through 360ism
  • compensation for sessions booked through 360ism shall be based on the rate or rate range approved by 360ism for Model’s assigned tier, unless otherwise stated in writing by 360ism
  • Model is not entitled to set or demand their own rate for bookings facilitated through 360ism unless 360ism expressly agrees in writing
  • 360ism may adjust Model’s tier placement and approved rates at its discretion based on factors including experience, professionalism, reliability, portfolio quality, demand, publication history, marketability, and prior performance with 360ism

If a guaranteed hourly rate is offered for a specific booking block, that guaranteed rate applies only to that specific booking block and does not create a permanent or automatic rate entitlement for future bookings.

10. Promotion Rights

Model grants 360ism permission to use Model’s approved name, professional name, likeness, social media handle, and submitted promotional images for the purpose of:

  • announcing appearances
  • promoting available booking slots
  • advertising group shoots
  • advertising private sessions
  • creating flyers and social media posts
  • marketing the event or booking opportunity

This promotional use is limited to legitimate business, editorial, and marketing purposes connected to 360ism Studios / Influencer Model Shoots and the booking activity covered by this Agreement.

Model represents that they have the right to authorize the use of any submitted images for these purposes.

11. Travel, Lodging, and Reimbursement Support

If 360ism provides airfare, hotel, lodging, transportation, travel reimbursement, meals, or related support, that support is being provided solely to facilitate the approved booking block and related Studio activities.

If 360ism pays for or provides lodging, Model shall not use that lodging or related accommodations for:

  • private shoots
  • off-platform content sessions
  • unapproved meetings intended to secure competing work
  • any modeling activity outside the 360ism booking structure

Misuse of Studio-funded travel or lodging support constitutes a material breach of this Agreement.

12. Payment Terms

Model shall be paid according to the guaranteed booking block and any additional written compensation terms approved by 360ism.

Unless otherwise agreed in writing:

  • the guaranteed compensation applies only to the specific 5-hour guaranteed block identified in this Agreement
  • all other compensation for bookings facilitated through 360ism shall be based on the rate or rate range approved by 360ism for Model’s assigned tier
  • no compensation is owed for outside activity prohibited by this Agreement
  • any unpaid compensation may be withheld in the event of breach, to the extent permitted by law

Additional bonus compensation, if any, is discretionary unless stated in writing.

13. Punctuality, Conduct, and Professionalism

Model agrees to:

  • communicate promptly
  • arrive on time
  • remain professional and cooperative
  • honor confirmed commitments
  • avoid conduct that disrupts the booking day or harms the Studio’s business interests

Repeated lateness, poor communication, refusal to follow scheduling, disruptive behavior, or conduct that materially damages the event or client experience may constitute breach.

14. Cancellation by Model

If Model cancels more than 7 days before the scheduled booking date, 360ism may reschedule or release both parties from future obligation.

If Model cancels within 7 days of the scheduled booking date, Model may be responsible for documented, nonrecoverable promotional, administrative, travel, or lodging expenses incurred by 360ism.

If Model cancels within 48 hours, fails to appear, or no-shows, Model shall be considered in material breach of this Agreement and may be responsible for:

  • documented nonrecoverable promotional costs
  • documented travel or lodging costs paid by 360ism
  • refund exposure caused to 360ism
  • any breach fee stated below

15. Breach and Remedies

A breach of this Agreement includes, but is not limited to:

  • booking or appearing at a competing studio during the Protected Booking Window
  • accepting bookings outside of 360ism that should have gone through 360ism
  • redirecting Studio-introduced contacts
  • violating exclusivity during the guaranteed block
  • misusing Studio-funded travel or lodging
  • refusing to honor the assigned booking schedule
  • materially disrupting scheduled event operations

In the event of breach, 360ism may, to the extent permitted by law:

  • cancel remaining sessions
  • terminate the booking relationship immediately
  • withhold unpaid compensation otherwise due
  • require reimbursement of documented nonrecoverable expenses
  • remove Model from current and future promotions
  • bar Model from future bookings
  • pursue a contractual breach fee of $__________________

16. No Assignment

Model may not assign, delegate, transfer, or substitute another individual under this Agreement without prior written approval from 360ism.

17. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Virginia.

Any dispute arising out of this Agreement shall be handled in a court of competent jurisdiction in Virginia, unless otherwise required by law.

18. Entire Agreement

This Agreement contains the full understanding between the parties regarding the subject matter addressed here and supersedes prior verbal discussions, informal messages, or prior understandings related to the booking block, exclusivity, promotion, and participation.

Any amendment to this Agreement must be made in writing and signed by both parties.

19. Acknowledgment

By signing below, Model acknowledges that they have read and understood this Agreement and agree to be bound by its terms.

Model further acknowledges that 360ism is relying on this Agreement in deciding whether to promote, schedule, fund, or facilitate Model’s visit and booking opportunities.
